These Terms of Service ("Terms") govern your access to and use of ToolAudit at toolaudit.ai (the "Service"), operated by Product Labs / N. Barrett ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription or use the Service. By using the Service, you represent that you meet this requirement.

Feature descriptions on the website at the time of your purchase form part of these Terms. We may add, modify, or remove features from any tier with reasonable notice.
To access Pro features, you need to create an account using your email address. We authenticate using magic links — a one-time sign-in link sent to your email. You are responsible for:
We reserve the right to suspend or terminate accounts that show signs of unauthorized sharing or abuse.
IMPORTANT — AUTOMATIC RENEWAL: Pro subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price, unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for each renewal period.
All payments are processed through Stripe. Prices are listed on our website and may change. If we increase prices, we will notify you by email at least 30 days before your next renewal date. If you do not cancel before the new price takes effect, your continued subscription constitutes acceptance of the new price.
How to cancel: You can cancel your Pro subscription at any time by contacting us at support@toolaudit.ai. We will process your cancellation within 1 business day.
What happens when you cancel:
Refunds: We do not provide refunds for partial billing periods. When you cancel, you keep access through the end of the period you already paid for. If you believe you were charged in error, contact us at support@toolaudit.ai and we will review your case.
Chargebacks: If you initiate a chargeback with your payment provider instead of contacting us, we reserve the right to immediately suspend your account and may contest the chargeback.
ToolAudit uses AI (Anthropic's Claude) to generate content on the site, including tool descriptions, ratings, comparisons, and guides. You acknowledge and agree that:
FTC Disclosure: Some outbound links on ToolAudit are affiliate links. When you click these links and purchase a tool, we may earn a commission at no additional cost to you. This is how we help fund the Service.
Affiliate relationships do not influence our ratings or rankings. Our AI-generated ratings use a standardized 6-dimension rubric applied consistently to all tools. Whether or not we have an affiliate relationship with a tool vendor has no bearing on that tool's score or position in our directory.
We are transparent about this relationship because the FTC requires it and because we believe you deserve to know.
When using the Service, you agree not to:
Violation of these rules may result in immediate account termination without refund.
Our content: All content on ToolAudit — including tool descriptions, ratings, comparisons, guides, stack recommendations, page designs, and branding — is owned by Product Labs. You may not reproduce, distribute, or create derivative works from our content without written permission.
Third-party trademarks: Tool names, logos, and trademarks displayed on ToolAudit belong to their respective owners. Their inclusion in our directory does not imply endorsement of ToolAudit by those companies, or endorsement of those companies by us.
Limited license: We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own informational and business purposes, subject to these Terms and your subscription tier.
ToolAudit is a directory and review site. We list and rate third-party tools, but:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Product Labs / N. Barrett from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
If we add features that allow you to submit reviews, comments, or other content in the future:
We aim to keep ToolAudit available and up to date, but we do not guarantee any specific level of uptime or availability. We may:
Support: Free tier users can reach us at support@toolaudit.ai. Pro subscribers receive priority support with faster response times.
By you: You may cancel your subscription at any time (see Section 4). You may also request complete account deletion by contacting support@toolaudit.ai.
By us: We may suspend or terminate your account at any time if you violate these Terms. In cases of serious violations (scraping, paywall circumvention, abuse), termination may be immediate and without refund.
After termination: Your access reverts to the Free tier (or is fully removed in cases of serious violations). We will retain your data as described in our Privacy Policy. Sections that by their nature should survive termination (including Sections 5, 6, 8, 9, 10, 11, 12, and 16) will survive.
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@toolaudit.ai. We will attempt to resolve the dispute within 30 days.
If the dispute is not resolved informally, either party may proceed with binding arbitration under the rules of the American Arbitration Association, conducted in Utah. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. If arbitration is not enforceable in your jurisdiction, disputes shall be resolved in the state or federal courts located in Utah.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For Pro subscribers, we will also send an email notification for material changes. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
